TITLE: International Lawyer
REQUIREMENTS: JD or equivalent and minimum of 1 year experience working in international corporate legal matters, cross-border transactions/litigation, management of international IP Protection systems such as EUIPO and WIPO.
SPECIAL REQUIREMENTS: California Bar required. Must be able to work independently, efficiently under time pressure, deadline in fast-paced environment with attention to detail. Ability to effectively communicate in international settings, including the ability to simplify technical, legal terminology. Ability to handle multiple urgent, important matters while maintaining professional but cordial relations with clients. Working knowledge of Microsoft Outlook, Word, Excel, PowerPoint, DocuSign, online research tools.
JOB DUTIES: Provide counseling with cross-border transactions, mergers, acquisitions, joint ventures, dispositions of assets/businesses, international legal trade matters, including the negotiation, drafting, review of legal documents, and coordination of due diligence. Advise the firm on issues of international regulatory compliance to coordinate transactions for the acquisition of assets/companies, closing of international contracts for sale and distribution of goods outbound and inbound. Assist Italian businesses in entering the U.S. market by bridging cultural/legal differences. Advise clients on corporate structuring of investments, distribution/licensing deals, franchising, technology and other intellectual property transfers involving Italian law/Italian entities. Advise clients on market entry in Italy, assist with the formation of subsidiaries, branches, support clients during contract talks, advise on the conclusion, implementation of contracts. Provide corporate law advise regarding all legal forms, liability issues, corporate compliance, employment and social security law issues, and assist with settlement negotiations and arbitration proceedings, including alternative dispute resolution.
